Subject:- Qualified institutions placement of equity shares of face value Re. 10/- each (the “Equity

Shares™) by Aanchal Ispat Limited (the “Company”) under the provisions of Chapter VI of

Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements)

Regulations, 2018, as amended (the “SEBI ICDR Regulations”) (the “Issue”).

Dear Sir/ Madam,

With reference to the captioned subject, it is to inform your that the Board of Directors has, at its meeting held

today i.e. June 05, 2026 approved the issue and allotment of fully 14,00,000 paid—up Equity Shares of face value

Re. 10 each to the eligible Qualified Institutional Buyers at the issue price of Rs. 50/~ per Equity Share (including

apremium of Rs. 40/~ per Equity Share), aggregating Rs. 7,00,00,000/- (Rupees Sevene Crores only), pursuant to

the Issue.

The Issue opened on June 03, 2026 and closed on June 05, 2026.

In continuance, please find enclosed herewith the List of Allottees who has been allotted more than 5% (five

percent) of the Equity Shares offered in the Issue, marked as Annexure A. Moreover, the shareholding pattern of

the Company, before and after the Issue, will be submitted along with the listing application in the format specified

in Regulation 31 of the SEBI Listing Regulations, as amended.

Pursuant to the allotment of Equity Shares in the Issue, the paid-up share capital of the Company will be raised

from Rs. 4,23,33,310/- (Rupees Four Crore Twenty Three Lakh Thirty Three Thousand Three Hundred and Ten

only) comprising of 42,33,331 Equity Shares of Re. 10 each.

The details pursuant to Regulation 30 of the Listing Regulations read with SEBI Master Circular No.

HO/49/14/14(7)2025- CFD-POD2/1/3762/2026 dated January 30, 2026, as amended from time to time (“SEBI

Circulars™) is enclosed herewith.
