Sub: Intimation regarding Approval of Selective Capital Reduction and Cut-off Date for

Giving Effect to the Reduction

Dear Sir/Madam,

We are pleased to inform you that the Hon'ble National Company Law Tribunal, Mumbai

Bench-I ("NCLT"), has approved the Scheme of Selective Capital Reduction of TCFC

Finance Limited ("the Company") pursuant to its Order dated 22nd April, 2026 ("NCLT

Order") for cancellation of 5,33,334 shares held by TCFC Finance Limited in its own name.

In accordance with the terms of the NCLT Order and the approved Scheme, the Board of

Directors of the Company has fixed 08th June, 2026 as the Cut-off Date for giving effect to

the selective reduction of the Company's share capital.

Accordingly, the selective capital reduction shall be implemented with reference to the

shareholding position as on the close of business hours on 08 June, 2026.

Shareholders are requested to take note of the above and extend their cooperation for smooth

implementation of the approved capital reduction.
