Sub: Intimation under Regulation 30 and Regulation 31A (10) of SEBI (LODR) Regulations, 2015

Change in Control and Promoter Reclassification

Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure

Requirements) Regulations, 2015 (“SEBI LODR Regulations”) and the SEBI (Substantial Acquisition

of Shares and Takeovers) Regulations, 2011, we hereby inform you that the open offer made to the

public shareholders of the Company was successfully completed. Consequent to the completion of

the open offer, the acquirer(s) took control on the management of the Company.

However, the shares held by the selling shareholders were not transferred at the time of taking

control, the re-classification of such Promoter/ Promoter Group as per Regulation 31A (10) was not

considered till the date of transfer and hence they were still categorised as Promoter/ Promoter

Group till the date of actual transfer of all shares held by them or their PAC to the Acquirer. All the

shares held by following Promoter/ Promoter Group are transferred to the Acquirer(s):

1. Sadanand Ganpati Hegde – Erstwhile Promoter

2. Sadanand Ganapti Hegde HUF – Erstwhile Promoter

3. Chetna Sadanand Hegde – Erstwhile Promoter

4. Bharati Sadanand Hegde – Erstwhile Promoter

Further, in accordance with Regulation 31A (10) of the SEBI LODR Regulations and in line with the

intent of the erstwhile promoters as disclosed in the Letter of Offer, it is hereby noted the

reclassification of the above mentioned 4 Promoter/ Promoter Group from the “Promoter and

Promoter Group” category to the “Public” category with effect from June 02, 2026. Also, the

Acquirer(s) are hereby categorised as Promoter of the Company.

The Company confirms that all conditions and compliances prescribed under Regulation 31A (10)

for such re-classification have been duly complied with and satisfied. This intimation is submitted

for your information and record.
