Sub: Withdrawal of proposed Preferential Issue of 4,00,000 Equity Shares and

2,50,000 Convertible Warrants and cancellation of Extra-Ordinary

General Meeting of the Company scheduled to be held on June 11, 2026

Ref: Regulation 30 of Securities and Exchange Board of India (Listing

Obligations and Disclosure Requirements) Regulations 2015

This is in reference to our earlier intimations in relation to the proposed issue of

4,00,000 Equity Shares and 2,50,000 Convertible Warrants of the Company to

identified promoter group and non-promoter persons on Preferential Basis (“Proposed

Preferential Issue”) in accordance with applicable laws including the provisions

specified under Chapter V of Securities and Exchange Board of India (Issue of Capital

and Disclosure Requirements) Regulations, 2018.

In relation to the Proposed Preferential Issue, as intimated earlier from time to time,

the below key events have taken place till date:

1. The Board of Directors of the Company approved the Proposed Preferential

Issue vide its meeting held on May 15, 2026, subject to receipt of requisite

approvals.

2. Application and clarifications/ additional documents for In-principle approval

for the Proposed Preferential Issue were submitted to BSE Limited on May 19,

2026 and June 03, 2026, respectively.

3. Dispatch of Notice and Corrigendum to Notice of Extra Ordinary General

Meeting (“EGM”) of the Company scheduled to be held on June 11, 2026, to

the shareholders of the Company.

We hereby submit this letter to inform you, the esteemed stakeholders of the

Company and general public at large, about the decision of the Board of Directors

of the Company to withdraw and cancel the Proposed Preferential Issue, in view

of the prevailing volatile market conditions, fluctuations in the market price of the

equity shares of the Company and intimation of the unwillingness of the proposed

investor to continue with the proposal to subscribe to the proposed issue, given

to the prevailing market situation.

Consequently, please note the following:

• The Company will not proceed with the issue and allotment of the equity shares

and convertible warrants as previously contemplated.

• The 01/2026-27 Extra-Ordinary General Meeting (EGM) of the Company,

originally scheduled for June 11, 2026, at 11:30 A.M., stands cancelled.

• The remote e-voting process, which was scheduled to commence on June 08,

2026, at 09:00 A.M. and end on June 10, 2026 at 05:00 P.M., is hereby

withdrawn and will not take place.

Further, the Company will also take all other necessary steps to intimate the other

concerned stakeholders accordingly.
