Sub: Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and

Disclosure Requirements) Regulations, 2015 as amended (“SEBI LODR Regulations”) –

Appointment of Independent Director.

With reference to the captioned subject and pursuant to Regulation 30 of the SEBI LODR Regulations, we

write to inform you that the Board of Directors of the Company have appointed vide its resolution dated

June 8th, 2026 for appointment of Dr. Charudatta Palwe as an Additional Independent Director of the

Company with effect from 9th June, 2026. The term of appointment as an Independent Director will be for

a period of 5 (Five) years with effect from 09th June, 2026 Upto 08th June, 2031, and the appointment is

subject to the approval of shareholders of the Company.

Dr. Charudatta Palwe is not related to any Director of the Company. He satisfy the criteria of independence

prescribed under the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements),

Regulations 2015.

Further, as per Circular No. List/Comp/14/2018-19 dated June 20, 2018 issued by BSE Limited, we

confirm that Dr. Charudatta Palwe is not debarred from holding the office of Director by virtue of any

order passed by SEBI or any other such authority.

The requisite details as required under the SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015 read with SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th

July, 2023 are given in enclosed Annexure-A.
