Industries Limited (‘Target Company’), hereby submit the disclosure in the format prescribed

under Regulation 29(2) of the SEBI (Substantial Acquisitions of Shares and Takeover)

Regulation, 2011, with regard to aggregate acquisition of 9,99,515 numbers of equity shares

of Rs. 10/- each constituting 22.30% of total share capital / voting share capital shareholding

of the Target Company, by way of gift of 9,99,515 equity shares on 8th June, 2026 among

immediate relatives, in compliance with regulation 10(1)(a)(i) of the said regulations.
