the Listing Regulations, we hereby inform that the meeting of Board of Directors of the Company was held on

‘Wednesday, 10® June 2026 at the Registered Office of the Company for;

. Consideration of proposed merger of SKF Elixer India Private Limited with Smiths & Founders (India)

Limited:

The Board considered and approved the proposal to explore and undertake merger of SKF Elixer India Private

Limited with Smiths & Founders (India) Limited, subject to completion of due diligence, valuation, finalization of

the Scheme of Merger and receipt of requisite approvals from shareholders, creditors, stock exchanges, regulatory

authorities, the Hon'ble National Company Law Tribunal and such other approvals as may be applicable.

. Appointment of Intermediaries:

The Board authorized the appointment and engagement of such professionals, consultants, legal advisors, valuers,

merchant bankers, chartered accountants, and other intermediaries as may be necessary or expedient in connection

with the proposed merger, and delegated authority to the Managing Director of the Company to finalize the terms of

engagement and undertake all consequential actions in this regard.

The meeting of the Board of Directors commenced at 02.30 pm and concluded at 03.00 pm.
