- Resignation of Independent Director

Dear Sir/Madam,

This is with reference to your email regarding the Corporate Announcement submitted by the Company

on June 05, 2026 under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015 relating to resignation of an Independent Director. In this regard, we submit the

following:

1. Reason for Delay in Disclosure

The resignation of Mr. Rakesh Gurnomal Rohera, Independent Director of the Company, became

effective on March 31, 2026. Due to an inadvertent lapse in the internal compliance reporting process,

the requisite disclosure under Regulation 30 of the SEBI (LODR) Regulations, 2015 could not be

submitted to the Stock Exchange within the prescribed timeline. The omission was subsequently

identified during the course of internal compliance review, whereupon the Company immediately

took steps to submit the requisite disclosure to the Exchange.The delay was neither deliberate nor

with any intention to withhold material information from investors or the Exchange. The Company

sincerely regrets the lapse and submits that necessary corrective measures have been implemented to

strengthen the internal compliance monitoring mechanism and ensure timely dissemination of all

material events in future.

2. Submission of Resignation Letter

Pursuant to the requirements of Regulation 30 read with Schedule III of the SEBI (LODR)

Regulations, 2015 and SEBI Circular No. SEBI/ HO/CFD/PoD2/CIR/P/0155 dated November 11,

2024, the resignation mail received from the Independent Director is enclosed herewith.

The Company requests the Exchange to kindly take the above submissions and enclosed

documents on record.
