Sub: Outcome of Board Meeting –Appointment and Resignation of Chief Financial Officer of the

Company pursuant to Regulation 30 of the Securities Exchange Board of India (Listing Obligations

and Disclosure Requirement) Regulations, 2015 (Listing Regulations).

Pursuant to Regulation 30 of the Listing Regulations read with the SEBI Circular No.

SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July 2023 (‘SEBI Circular’), the Company

hereby informs that the Board of Directors at its meeting held today i.e. 10th June, 2026, based on

the recommendation of the Nomination and Remuneration Committee and Audit Committee, has

considered and approved the following:

1. Resignation of Mr. Venkata Seshavataram Varada from the position of Chief Financial

Officer and Key Managerial Personnel of the Company with effect from the close of

business hours of 9

June, 2026, and

2. Appointment of Mr. Rama Rao Telli, as Chief Financial Officer (CFO) and Key Managerial

Personnel of the Company with effect from 10

June, 2026;

Further, the information required in terms of Regulation 30 read with Schedule Ill - Para A (7) of Part

A of the SEBI Listing Regulations and SEBI Master Circular bearing Ref. No. SEBI/HO/CFD/

PoD2/CIR/P/2023/120 dated July 11, 2023, is enclosed as ‘Annexure-I ’ to this letter.

Financial Reporting & Accounting Standards,

IND AS, Auditing Guidelines, Corporate Laws,
