TVS Supply Chain Solutions Limited — JV/Acquisition, 11-07-2026: Amalgamation/Merger

TVS Supply Chain Solutions (TVS SCS) has secured NCLT Chennai approval for its merger with Mahogany Logistics Services, TVS SCS Global Freight Solutions, White Data Systems India, and Flexol Packaging (India). This strategic move aims for business growth, cost efficiencies, and a streamlined corporate structure.

Shareholders of Mahogany Logistics will directly receive 3.75 Cr new TVS SCS shares (face value Re. 1 each). No new shares are issued for the other merging entities as they are wholly-owned subsidiaries, ensuring no dilution for existing TVS SCS shareholders.

The merger is effective from April 1, 2023, pending final approval from NCLT Bengaluru for SPC International (India). TVS SCS, backed by a Rs 2,637.95 Cr net worth, will assume all transferred liabilities.
