India Cements Capital Ltd — Important, 01-01-1970: Company Update

An open offer has been announced for India Cements Capital Limited (ICCL) following an agreement by a group of acquirers to purchase 50.02% of the company's voting shares, amounting to 1,08,58,186 equity shares, from the current promoter for ₹13.03 Cr at ₹12 per share. Subsequently, these acquirers are offering to acquire an additional 26.00%, or 56,43,612 equity shares, from public shareholders at ₹12 per share, valuing this portion of the offer at ₹6.77 Cr. This transaction represents a significant change in control for ICCL, an RBI-registered Authorised Dealer, and is subject to prior approval from the RBI.
