Maximus International Ltd — Important, 26-08-2026: Company Update

Maximus International's Board approved significant governance changes. Mr. Ramesh Kheradia was appointed as an Additional Non-Executive Independent Director, bringing over 30 years of corporate law expertise. Mr. Dipak Raval was re-appointed as Managing Director for five years without remuneration, and Ms. Divya Zalani was re-appointed as an Independent Director for a second five-year term, both pending shareholder approval. The Board also appointed M/s. Ambalal M. Shah & Co. as Statutory Auditors to fill a casual vacancy, proposing a five-year term, subject to shareholder endorsement. Concurrently, the Audit and Nomination & Remuneration Committees were reconstituted.
