Optimus Finance Ltd — Important, 26-08-2026: Company Update

Optimus Finance Limited's Board has approved significant governance changes. Mr. Ramesh Kheradia was appointed as an Additional Non-Executive Independent Director, and Ms. Divya Zalani was re-appointed as an Independent Director for a second five-year term. Both director appointments are subject to shareholder approval. The Board also appointed M/s. Ambalal M. Shah & Co. as the new Statutory Auditors to fill a casual vacancy, with a proposal for a further five-year term, pending shareholder consent. Concurrently, the Audit Committee and Nomination and Remuneration Committee have been reconstituted.
