Optimus Finance Ltd — Important, 26-08-2026: Company Update

Optimus Finance has approved significant governance changes. The Board appointed Mr. Ramesh Kheradia as an Additional Non-Executive Independent Director and re-appointed Ms. Divya Zalani for a second five-year term, both pending shareholder approval. These appointments were made following the Nomination and Remuneration Committee's proposal. M/s. Ambalal M. Shah & Co. were also appointed as Statutory Auditors, filling a vacancy, and are proposed for a five-year term, subject to shareholder consent. Consequently, the Audit and Nomination & Remuneration Committees have been reconstituted to reflect these board composition updates, aiming to strengthen oversight.
