Hindware Home Innovation Limited — Board Meeting, 27-03-2025: Outcome of Board Meeting

The Board of Directors of Hindware Home Innovation Limited has approved a Composite Scheme of Arrangement. This involves the demerger of the Consumer Products Business into a new entity, HHIL Limited, with shareholders of the Demerged Company receiving one fully paid-up equity share of the Resulting Company for every share held. Additionally, the Remaining Transferor Company will amalgamate with Hindware Limited, where shareholders will receive one fully paid-up equity share of Hindware Limited for every share held in the Remaining Transferor Company. The effective date for these changes is set for April 1, 2025, with plans for equity share listings on stock exchanges thereafter.
