Godrej Properties Limited — JV/Acquisition, 06-11-2025: Amalgamation/Merger

Godrej Properties (GPL) has announced the amalgamation of its wholly-owned subsidiary, Embellish Houses Private (EHPL), with itself. This strategic move aims to consolidate GPL's real estate business, streamline the group's structure, reduce operational costs, and enhance efficiency by eliminating duplicate functions. As EHPL is a fully owned subsidiary with a negligible financial footprint, no new shares will be issued by GPL. Consequently, there will be no change in GPL's existing shareholding pattern. The merger is subject to NCLT and shareholder approvals.
